Platform Disclosure. The mobile application you are accessing may be presented under your Chamber of Commerce’s name and branding. Regardless of the branding displayed, the underlying platform is operated by Chaymber LLC, and these Terms and Conditions and Chaymber’s Privacy Policy govern your use of the Service in all cases. By creating an account or using the Service, you acknowledge that you have been provided notice of Chaymber’s role as the technology provider.
Your Data
Chaymber processes your personal information on behalf of your Chamber of Commerce, which is responsible for your membership data. Our Privacy Policy explains what we collect, how we use it, and your rights. If you have questions about your membership data specifically, contact your Chamber directly.
Indemnification
You agree to indemnify and hold harmless Chaymber, its contractors, and its licensors and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorney’s fees, arising out of your use of our Services, including but not limited to any violation of the Privacy Policy and/or these Terms.
Disclaimer of Warranties
Our Services are provided on an “as-is” basis and we make no guarantees the Services or platform will be free of errors, interruptions in service or technical issues. We make no warranties, express or implied, and hereby disclaim all implied warranties, including any warranty of merchantability and warranty of fitness for a particular purpose.
Limitation of Liability
If you are dissatisfied with the Services, your available remedies are to delete your account, contact support@chaymber.com, or reach out to your Chamber of Commerce directly.
Where allowed under applicable law, in no event will Chaymber, its directors, officers, employees, third-party affiliates, or agents be liable for (i) any special, incidental or consequential damages related to your use of our Services; (ii) any interruption of use of our Services or loss or corruption of data; or (iii) any related lost profits. Our liability arising from the Privacy Policy, these Terms and the use of our Services will not exceed the greater of $100 or the total amount you have paid us for the Services in the past 12 months.
SMS Communications. Where your Chamber of Commerce has enabled SMS messaging through the Service, you may receive text messages from your Chamber via the Chaymber platform. Message and data rates may apply. You may opt out of SMS communications at any time by replying STOP to any message. For help, reply HELP. Chaymber is not responsible for the content of messages sent by your Chamber. Consent to receive SMS messages is not a condition of membership or use of the Service.
Termination of Services
Chaymber may restrict or terminate your access to the Services at any time, with or without notice, including at the direction of your Chamber of Commerce. Your Chamber may also independently remove your access if your membership status changes.
Intellectual Property Violations
If you believe a user has violated the intellectual property of others, you can report the content by contacting support@chaymber.com. If we determine there has been an infringement, the infringing material will be removed from the platform.
Please include the following information:
- A list of each individual registered work claiming to have been infringed (the “Work(s)”);
- A description of the location of each Work on the platform (please be as detailed as possible and provide the URL, if applicable);
- Contact information of the complaining party, including name, address, telephone number, and email;
- A statement that the complaining party has a good faith belief it is an unauthorized infringement;
- A statement that the above information is accurate, and under penalty of perjury, that the complaining party is either the owner of the Work(s) or authorized to act on their behalf; and
- The signature of the Work(s)’s owner (or their representative).
Future Amendments
We reserve the right to make changes or updates to these Terms at any time, so we encourage you to periodically return to review these Terms. Your continued use of the Services following any updates shall mean that you agree and accept such changes.
Governing Law and Venue
Our Services are protected by applicable copyright, trademark, and other US and foreign laws. All claims arising out of or relating to the Privacy Policy, these Terms or the use of the Services will be governed by Colorado state law.
Dispute Resolution
If you have a concern, please contact us at support@chaymber.com before filing any claim. We’ll do our best to resolve it within thirty (30) days.
If we can’t resolve it informally, any dispute arising from these Terms or your use of the Service will be resolved by binding individual arbitration under the AAA Consumer Arbitration Rules (www.adr.org), conducted in El Paso County, Colorado or by phone/video at your election. You and Chaymber each waive the right to participate in any class action. Claims related to intellectual property or qualifying for small claims court are excluded from arbitration.
You may opt out of arbitration by emailing support@chaymber.com within thirty (30) days of first accepting these Terms, including your name, account email, and a statement that you are opting out. You and Chaymber expressly waive a trial by jury.
